Free Credit Giveaway Rules

Overview:  The TouchTunes Free Credit Giveaway (the “Giveaway”) will be offered at various times, and sometimes in multiple versions at the same time. Each version is offered via a specific posting on a social media platform. Each version associated with a particular social media posting is separate from any other version and social media posting. Entry in one version via one social media posting is not entry into any other version. The Giveaway may be terminated at any time after any given version is completed. Each offering/version of the Giveaway via any social media posting will be subject to the Official Rules set forth below.

Eligibility: No purchase necessary to enter or win.  Each offering and version of the Giveaway is open to legal residents of the United States who are at least the age of majority in their jurisdiction of residence and possess a mobile device with a data plan as of the day of the social media posting offering the particular version of the Giveaway, except employees of TouchTunes Music Corporation ("Sponsor") and its parent companies, affiliates, partners, subsidiaries, franchisees, advertising and promotion agencies and anyone else involved in the development or execution of this Giveaway (collectively the foregoing entities are the “Giveaway Entities”), and the immediate families or household members of each.  In the case of any version of the Giveaway associated with a social media posting from an artist or recording company, employees of that artist or record company, and their immediate families and household members, also are not eligible.  The Giveaway is subject to all applicable federal, state and local laws and regulations. Void where prohibited or restricted by law or regulations.

How to Enter/Entry Period:  Each version of the Giveaway will begin when the relevant social media posting occurs announcing that version. Such postings can occur at any time in any social media platform(s). To enter a particular version, simply follow the instructions in the social media posting, usually by clicking to visit the TouchTunes mobile app (which is free to download). Hurry!  The winners must be among the first eligible people to take the requested free action in any version of the Giveaway. Each social media posting will state the exact number of winners for that version of the Giveaway. Entry deadline is 72 hours after the invitation posting occurs, or as soon as the requested number of actions are taken, whichever occurs first (“Entry Period”).  Entry will require an account for the applicable social media platform (Twitter, Instagram, Facebook, etc.), all of which are free, and none of which are sponsors of or associated in any way with this Giveaway.

Limitations:  Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, Promotion Entry services) will void all entries by that entrant. In the event of a dispute as to any online entry, the authorized account holder of the email address associated with the social media account used to enter will be deemed to be the entrant. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.  You may enter a maximum of one (1) time for each offering/version of the Giveaway.  Any attempt to enter more than once via multiple accounts on the same social media platform, accounts, email addresses, names, or any other means, may result in disqualification from this and any other promotional offering from TouchTunes.     

Prizes:  The number of prizes available for each offering/version of the Giveaway will be stated in the social media posting. Each prize comprises a minimum of two (2) TouchTunes mobile credits, (up to a maximum of fifty (50) TouchTunes Mobile Credits), which will be automatically added to the winners’ TouchTunes Account, subject to verification, and are usable via the TouchTunes mobile app, which is available for free download for use for use on Apple and Android devices. The number of mobile credits offered per prize in each version of the Giveaway will be disclosed in the invitation posting for that version of the Giveaway.  To redeem credits using the TouchTunes mobile app, winner must first download the TouchTunes app and register for an account, both of which are free.  Approximate Retail Value of prize is at least $1.00 (for 2 credits), up to a maximum of $25 (for 50 credits).  Number of credits required for song plays may vary by location for jukeboxes. Winner is solely responsible for the payment of all federal, state and local taxes and all other expenses or costs relating to the prize not expressly set forth above. Prizes are non-transferable and no substitution by winner or cash equivalent is allowed. Sponsor reserves the right to substitute prize for one of equal or greater value if the advertised prize becomes unavailable. 

Selection of Winners:  Winners in each version/offering will be determined based on whether they are among the first eligible people who take the action requested in the social media posting announcing that version/offering. The exact number of winners in any version of the Giveaway will be stated in the social media posting about that version of the Giveaway. Winners will be notified promptly via the TouchTunes app with instructions on how to claim the prize. Judges’ decisions are final and binding in all matters relating to this Giveaway.  If the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner may be disqualified and an alternate winner may be selected.  If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected.  You may only win a Giveaway once per day.

Release of Liability: By participating, you hereby release Sponsor, the applicable social media platform where the announcement posting appeared, and their respective directors, officers, employees and agents from and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Giveaway and/or the acceptance, awarding, receipt, use and/or misuse of the prize, and you agree that these entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the promotion and/or the awarding of any prize other than as expressly set forth in these Official Rules.  By entering, you further agree that (i) any and all disputes, claims, and causes of action arising out of or in connection with the Giveaway, or any prize awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to reasonable and actual out-of-pocket costs incurred, including costs associated with entering the Giveaway, but in no event attorney's fees and disbursements; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and each entrant hereby waives all rights to claim, punitive, incidental, indirect or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for reasonable and actual out-of-pocket expenses.

Choice of Law; Venue: These rules and any disputes relating hereto are governed by the internal laws of the State of New York, without regard to principles of conflicts of laws, and by entering the Giveaway you consent to the exclusive jurisdiction of the state and federal courts located in New York city for resolution of any disputes relating to the Giveaway and waive any objection thereto.

Social Media Platforms: By participating, you release Twitter, Instagram, Facebook, and any other social media platform where a version of the Giveaway gets announced – along with their respective parent companies, subsidiaries, affiliates, partners, employees, directors, agents, advertising agencies – from any and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Giveaway and/or the acceptance, awarding, receipt, use and/or misuse of the prize.  This promotion is in no way sponsored, endorsed or administered by, or associated with, Twitter, Instagram, Facebook, or any other social media platform.

Additional Rules:  Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Giveaway Entities are not responsible for: (i) lost, late, misdirected, damaged, garbled or illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials, or for technical, network, telephone equipment, electronic, computer, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive entry information by Sponsor on account of technical problems or traffic  congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer related to or resulting from participating in the Giveaway.  By participating in the Giveaway, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of the judges.  Failure to comply with these Official Rules may result in disqualification from the Giveaway. Sponsor reserves the right to: (i) permanently disqualify from the Giveaway any person it believes has intentionally violated these Official Rules; and (ii) suspend, modify or terminate the Giveaway if Sponsor believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper play of the Giveaway. If Giveaway is terminated before the end date, Sponsor will determine the winner from all eligible entries received as of the termination date.

Publicity Release: Subject to applicable laws, each winner of this Giveaway hereby consents to allow TouchTunes the use of his/her name, voice, picture and/or likeness without compensation for promotion purposes. In addition to the foregoing and as a condition to receiving his/her prize, each winner may be required to execute a separate release requested by TouchTunes, subject to applicable laws.

LEGAL WARNING: ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT AN ENTRANT, TO DELIBERATELY DAMAGE, DESTROY, TAMPER OR VANDALIZE THE GIVEAWAY WEB SITE OR INTERFERE WITH THE OPERATION OF THE GIVEAWAY, IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.
