Eligibility: No purchase necessary to enter or win. The TouchTunes National Jukebox Day x Metallica Sweepstakes (the "Sweepstakes") is open to legal residents of the United States (excluding Rhode Island) who are at least 18 years of age as of November 8, 2024, except employees of TouchTunes Music Company, LLC ("Sponsor" or “TouchTunes”), Blackened Recordings, Q Prime Inc, Frantic Inc. and each of their respective parent companies, affiliates, partners, subsidiaries, franchisees, advertising and promotion agencies and anyone else involved in the development or execution of this Sweepstakes (collectively the foregoing entities are the “Sweepstakes Entities”), and the immediate families or household members of each. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. Void where prohibited or restricted by law or regulations.

Sweepstakes Period:  Sweepstakes begins 12:00:01 a.m. Eastern Time (“ET”) on November 8, 2024 and ends on December 8, 2024 at 11:59:59 p.m. Pacific Time (the “Sweepstakes Period”).

How to Enter: Song Plays: Play any Metallica song on a TouchTunes digital jukebox installed in a location in the United States using the TouchTunes Mobile App during the Sweepstakes Period. To be eligible for the Sweepstakes, all entries via this method must be received during participating locations’ open hours during the Sweepstakes Period. Online: Alternatively, you can enter the Sweepstakes by completing the online entry form available at touchtunes.com/metallicasweepstakesaltentry.

Limit two hundred and fifty (250) entries per person during the Sweepstakes Period, regardless of method of entry. Any attempt to enter more than two hundred and fifty (250) times during the Sweepstakes Period may result in disqualification from this and any other promotional offering from TouchTunes. No responsibility is assumed for any failed or interrupted electronic communications.

Any use of robotic, repetitive, automatic, programmed or similar entry methods or agents (including, but not limited to, promotion entry services) will void all entries by that entrant. In the event of a dispute over the identity of an entrant, entry will be deemed submitted by the authorized account holder of the e-mail account of the e-mail address submitted at time of entry. The "authorized account holder" is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses.  

Prizes/Odds:

There are twelve (12) prizes available:

• Grand Prize: One (1) prize pack including two (2) VIP tickets to Metallica’s M72 World Tour in Philadelphia, PA on May 23 and May 25, 2025 for the winner and a guest, a $1,000 Visa® gift card* to be used for transportation expenses, one (1) double occupancy standard hotel room for three (3) nights from May 23, 2025 through May 25, 2025, admission to a meet and greet event on May 23, 2025 with Metallica for the winner and a guest and one merchandise prize pack (includes two (2) t-shirts, hats and vinyl albums) (Total Approximate Retail Value (“ARV”): $3,972).
• Second Prize: One (1) $500 Visa® gift card* (ARV: $500).
• Third Prize: Ten (10) TouchTunes mobile app credit bundles of one hundred (100) credits each (ARV: $48 per bundle).

Sponsor is awarding each prize “AS IS” and neither Sponsor nor the Sweepstakes Entities make or offer any warranty or guarantee, either express or implied (including, without limitation, quality, merchantability and fitness for a particular purpose) in connection with this Sweepstakes or any prize. Limit of one (1) prize per person. For the Grand Prize, the ticket type awarded and the selection of hotel and any room assignments are at the sole discretion of Sponsor.   Grand Prize winner and guest must abide by all hotel and M72 World Tour venue policies, CDC regulations and local government laws, rules and requirements. Sponsor reserves the right to revoke the full or partial prize from any winner or winner’s guest who it or venue personnel deem may, in its sole discretion, be intoxicated, be a safety risk, have violated any venue policy or law, or may bring Sponsor into disrepute. Grand Prize winner will be required to provide a credit card to hotel to cover incidentals and/or damage waivers/fees, which expressly are not included in the Grand Prize package. Each winner is solely responsible for the payment of all federal, state and local taxes and all other expenses not specifically mentioned herein. Any unclaimed and/or unused prize element will remain the property of Sponsor. Resale of tickets is prohibited. By claiming tickets, you and your guest must agree to the venue ticketing's Terms of Use and to abide by the health and safety measures in effect at the time of the event, which may include, but not be limited to, wearing masks, providing proof of vaccination status and/or providing proof of negative COVID-19 status. Should any prize-related event or any portion of any prize-related event be cancelled or rescheduled, you will be notified as soon as reasonably possible. A minor may accompany the Grand Prize winner as a guest only if the winner is the minor’s parent or legal guardian. Minors must be accompanied at all times (including, but not limited to during any hotel stay and all prize-related events) by minor’s parent or legal guardian.  Grand Prize winner and guest must each have all necessary identification and/or travel documents (e.g., a valid U.S. government issued passport or Real ID-compliant license or ID) required for travel, including hotel check-in. Each prize gift card and credit bundle will be emailed to the applicable winner’s email address. Prize tickets will be sent via email to the Grand Prize winner’s Ticketmaster® account and the Grand Prize winner will be required to have a valid Ticketmaster® account prior to accepting the prize. There is no cost to register for a Ticketmaster® account or to redeem the Grand Prize tickets. Grand Prize winner may be required to show proof of age/identity in order to enter the venue. If the Grand Prize winner is unable or unwilling to attend the event on the date specified, the prize will be forfeited and may be awarded to an alternate winner. Any unclaimed and/or unused prize, or any portion thereof, will remain the property of Sponsor. Grand Prize winner understands that there are inherent risks involved in travel and that these risks may be present before, during and after the trip. Each prize is non-transferable and no prize substitution or cash equivalent is offered, except at the sole discretion of TouchTunes. TouchTunes reserves the right to substitute any prize or any portion of a prize for one of equal or greater value if an advertised prize or any portion of an advertised prize becomes unavailable. Each prize winner is responsible for all taxes due as a result of accepting such prize.

Odds:  Odds of winning depend on the number of eligible entries.

Prize Conditions:  Sponsor may conduct a background check to confirm eligibility and compliance with these Official Rules.  By entering the Sweepstakes, you agree to cooperate reasonably with any such background check.  Failure to cooperate may result in disqualification and selection of an alternate winner.  If a potential winner has engaged in or does engage in any conduct that could damage the reputation or business of any of the Sweepstakes Entities, as determined by Sponsor in its sole discretion, the potential winner may be disqualified and the applicable prize may be awarded to an alternate winner.

Selection of Winners:  Winners will be selected at a random drawing from among all eligible entries received.   Drawing will be conducted on or about December 9, 2024.  Potential winners will be notified promptly thereafter by email using contact information submitted at the time of entry. Potential winners must respond to initial notification within 72 hours with their full legal name and zip code or prize will be forfeited and may be awarded to an alternate winner. Judges’ decisions are final and binding in all matters relating to this Sweepstakes.  Each winner and the Grand Prize winner’s guest may be required to sign a declaration or affidavit of eligibility, a liability release, and/or a publicity release and provide tax information; a failure to comply when requested may result in disqualification and award of the applicable prize to an alternate winner.   If any prize or prize notification is returned as unclaimed or undeliverable to a potential winner, such potential winner may be disqualified and an alternate winner may be selected.  If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected.  

Release of Liability: By participating, you hereby release the Sweepstakes Entities, their directors, officers, employees and agents from and against any and all injury, loss or damage caused or claimed to be caused by your participation in the Sweepstakes and/or the acceptance, awarding, receipt, use and/or misuse of the prize, and you agree that these entities are not responsible for any warranty, representation, or guarantee, expressed or implied, in fact or in law, relating to the promotion and/or the awarding of any prize other than as expressly set forth in these Official Rules.  By entering, you further agree that (i) any and all disputes, claims, and causes of action arising out of or in connection with the Sweepstakes, or any prize awarded, shall be resolved individually without resort to any form of class action; (ii) any claims, judgments and awards shall be limited to reasonable and actual out-of-pocket costs incurred, including costs associated with entering the Sweepstakes, but in no event attorneys’ fees and disbursements; and (iii) under no circumstances will any entrant be permitted to obtain any award for, and each entrant hereby waives all rights to claim, punitive, incidental, indirect or consequential damages and any and all rights to have damages multiplied or otherwise increased and any other damages, other than damages for reasonable and actual out-of-pocket expenses.  For New Jersey residents, the limitations set forth above are inapplicable where attorneys’ fees, court costs, or other damages are mandated by statute.

Choice of Law; Venue: These rules and any disputes relating hereto are governed by the internal laws of the State of New York, without regard to principles of conflicts of laws, and by entering the Sweepstakes you consent to the exclusive jurisdiction of the state and federal courts located in New York City for resolution of any disputes relating to the Sweepstakes and waive any objection thereto.

Additional Rules:  Entry materials/data that have been tampered with or altered, or mass entries or entries generated by a script, macro or use of automated devices are void. The Sweepstakes Entities are not responsible for: (i) lost, late, misdirected, damaged, garbled or illegible entries; (ii) error, omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction or unauthorized access to or alterations of entry materials or prize information, or for technical, network, telephone equipment, electronic, computer, mobile device, hardware or software malfunctions of any kind, or inaccurate transmission of or failure to receive information by Sponsor on account of technical problems or traffic congestion on the Internet or at any web site or any combination thereof; or (iii) any injury or damage to entrant's or any other person's computer or mobile device related to or resulting from participating in the Sweepstakes.  By participating in the Sweepstakes, you (i) agree to be bound by these Official Rules, including all eligibility requirements, and (ii) agree to be bound by the decisions of the judges.  Failure to comply with these Official Rules may result in disqualification from the Sweepstakes. Sponsor reserves the right to: (i) permanently disqualify from the Sweepstakes any person it believes has intentionally violated these Official Rules; and (ii) suspend, modify or terminate the Sweepstakes if Sponsor believes, in its sole discretion, that malfunction, error, disruption or damage is impairing or will impair the administration, security, fairness, integrity or proper play of the Sweepstakes. If the Sweepstakes is terminated before the end date of the Sweepstakes Period, Sponsor will determine the winner from all eligible entries received as of the termination date.  Any trademarks, service marks and trade names used in these Official Rules are the property of their respective owners.

Publicity Release: Subject to applicable laws, each winner hereby consents to allow TouchTunes the use of his/her name, voice, picture and/or likeness without compensation for promotion purposes. In addition to the foregoing and as a condition to receiving his/her prize, each winner and the Grand Prize winner’s guest may be required to execute a separate release requested by TouchTunes, subject to applicable laws.
